Special Board Meeting

March 23, 2002

President Linc Barnett called the meeting to order at 9:00 a.m.

The meeting was attended by Bob Burnett, Ann Anthony, John Murphy, Doc Carr, Dick Waters, Ann Maruszak, Ken Osborne, Bill Wargo, Donna Decker, and Vicki Barnett.

The purpose of the special meeting of the Board was to obtain direction from the Board as to how Board related activities should be handled between regular meetings of the Board.

The following motions were made and unanimously approved by the Board members present:

• Policy decisions may be made via telephone and/or email communication between the president and the individual Board members (motion by Dick Waters and second by Doc Carr)
• Situations requiring the expenditure of $201.00 or more require an in-person special meeting of the Board. The president is authorized to approve expenditures up to and including $200.00. (Motion by Dick Waters and second by Doc Carr)
• The Executive Committee will handle all routine administrative matters between regular Board meetings (Motion by Dick Waters and second by Doc Carr)
• All proxy voting (email and telephone) will require publishing of each individual’s vote. In-person Board meetings will have individual votes recorded only upon specific request of one or more Board members (Motion by Ann Maruszak and second by Dick Waters)
